Publisher Agreement
This agreement is between JoeTec
Newtorks Inc ("JoeTec"), and all of its publishers.
By
signing up at JoeTec you agree to everything stated below in this agreement.
1.
Membership
By signing up to become a publisher your site must
meet the following requirements.

You
or the organization(s) you represent must own the website you are applying
with.
·
Your
website does not contain any hate, pornography, distribute viruses, or support
“Scum-Ware” in any way.
·
You
must receive at least 100,000 hits a month or 20,000 unique visits a month.
·
Your
site must have original content (e.g. no co-brands)
·
Have
a valid Privacy Policy
·
At
least 90% of each page on your site must be in English
We reserve the right not to accept any site for any
reason we deem necessary.
Once you are a member of JoeTec you must agree to
the following.
·
Post a link back to JoeTec’s Privacy Policy in your sites privacy
policy
·
Must
post a link back to JoeTec somewhere on every page or on a page about
advertising with the site.
·
You
may not use any JoeTec ad coding more than once on each page.
·
Traffic
must not fall below 5,000 hits a month or JoeTec reserves the right to cancel
your account.
·
You
must place all JoeTec ad-coding except pop-ups and bottom banners above the
fold on your website.
·
You
may not offer your users any incentives to view or click JoeTec ads unless you
have permission from JoeTec to do so.
·
You
may not have any other banners of a size JoeTec offers you above the fold on
the same page a JoeTec Banner is displayed above the fold. (e.g. if you have a
468x60 joetec top banner on a page you may not have any other 468x60 banners
above the fold, this applies to Layer ads also)
·
You may not run more than one of our "in content" ads (300x250) on the same page as another ad of the same size.
·
You
may not artificially inflate views or clicks on any JoeTec ad.
·
You
may not place ad-coding on any URL not approved by JoeTec
·
At
least 70% of your traffic must be from the US, Canada, UK or Australia.
Failure to follow any of the above may result in
termination of your account and/or all outstanding earnings being forfeited.
We reserve the right to cancel any accounts that
have very low performance rates.
2.
Payment
Payment will be made on a Net-60
basis, meaning your payment will be sent in at least 60 days after the month your
have earned the minimum threshold.
You will not be paid for any month
where you make less than $50. In a
month where you make less than $50 the amount will be rolled over to the next
month’s payment. All payment will be
made by checks via the USPS or a wire transfer

Liability
Publisher is solely responsible for any legal liability arising out of
or relating to (i) the content and other material set forth on the Publisher
Websites and/or (ii) any content or material to which users can link through
the Publisher Websites. Publisher
hereby agrees to indemnify, defend and hold harmless JoeTec and its officers,
directors, agents, affiliates and employees from and against all claims,
actions, liabilities, losses, expenses, damages, and costs (including, without
limitation, reasonable attorneys’ fees) that may at any time be incurred by any
of them by reason of any claims, suits or proceedings (a) for libel,
defamation, violation of right of privacy or publicity, copyright infringement,
trademark infringement or other infringement of any third party right, fraud,
false advertising, misrepresentation, product liability or violation of any
law, statute, ordinance, rule or regulation throughout the world in connection
with the Publisher Websites; (b) arising out of any material breach by
Publisher of any duty, representation or warranty under any agreement with
JoeTec; or (c) relating to a contaminated file, virus, worm, or Trojan horse
originating from the Publisher Websites.
b) Damages: In no event shall either party be liable for special, indirect,
incidental, or consequential damages, including, but not limited to, loss of
data, loss of use, or loss of profits arising thereunder or from the provision
of services.
c) Warranty Disclaimer: JoeTec and its Customers do not make and hereby
expressly disclaim all warranties, express or implied, with respect to any
matter whatsoever, including, without limitation, the performance of any
software programs incidental to services rendered by JoeTec, services provided
thereunder, or any output or results thereof. JoeTec and its Customers
specifically disclaim any implied warranty of merchantability or fitness for a
particular purpose.
d) Limitation of Liability: Neither JoeTec nor its Advertisers or other Publishers will be subject to any liability whatsoever for (a) any failure to provide reference or access to all or any part of the Website due to systems failures or other technological failures of JoeTec or of the Internet; (b) delays in delivery and/or non-delivery of Creative, including, without limitation, difficulties with a Customer or Creative, difficulties with a third-party server, or electronic malfunction; and (c) errors in content or omissions in any Creative.
4.
This agreement is to be governed in accordance to the laws of the commonwealth
of Kentucky.
